LockMSP Terms of Service

Welcome to LockMSP. These Terms of Service govern your use of the LockMSP platform. By creating an account or using our services, you agree to these terms. If you're accepting these terms on behalf of a company or organisation, you confirm that you have the authority to do so.

The Service

LockMSP provides cloud-based tools for managed service providers, including remote monitoring and management, remote access, Microsoft 365 and device backups, documentation, ticketing, and other related services.

We're continually improving the platform and may introduce new features, enhance existing functionality, or retire features from time to time.

Your Account

You're responsible for maintaining the security of your account and keeping your login credentials confidential.

By using LockMSP, you confirm that:

Your Data

Your data always remains yours.

Any information you store or upload to LockMSP (including device information, documentation, backups, passwords, and credentials stored in the secure vault) remains the property of you or your customers.

We use this data solely to provide and improve the services you request. We do not sell your data or use it for advertising. For more information about how we collect, store, and protect information, please refer to our Privacy Policy.

Fees and Billing

Subscriptions are billed monthly in advance based on technician licences, together with any selected add-ons or usage-based services.

Any usage-based charges are visible within the platform before they appear on your invoice.

Unless otherwise stated, all pricing is in Australian Dollars (AUD).

Payments already made are non-refundable except where required under applicable law.

Trials and Cancellation

Free trials are available for the period displayed during signup.

You may cancel your subscription at any time through the billing section of the platform. Your subscription will remain active until the end of your current billing period, after which your access will cease.

Service Availability

We work hard to provide a reliable, secure, and highly available platform. However, no online service can guarantee uninterrupted availability.

Occasionally, planned maintenance, infrastructure providers, internet outages, or circumstances beyond our reasonable control may affect the availability of some or all services.

Backups

Our backup services are designed to provide an additional layer of protection for your business data.

However, backups should be considered part of your overall disaster recovery strategy and not an absolute guarantee against data loss. You remain responsible for ensuring backups are configured correctly, monitored regularly, and tested to confirm they meet your recovery requirements.

Where Your Backups Are Stored

Depending on how your account is configured, backups are written either to storage you provide or to LockMSP storage.

Where you nominate your own storage, such as your own S3 bucket and access keys, that storage remains yours and sits outside our control. You're responsible for its configuration and security, including bucket policies and permissions, access keys and their rotation, encryption settings, versioning, lifecycle and retention rules, region selection, and the security of the account it belongs to. We write to that storage using the credentials you provide. We're not responsible for data being deleted, altered, exposed, made inaccessible, or incurring charges within that storage, including where this results from your own settings, your storage provider, or anyone with access to your account.

Where you use LockMSP storage, we're responsible for securing that infrastructure. You remain responsible for the matters within your control, including what you choose to back up, who in your organisation has access, and the credentials your team uses.

In both cases, you're responsible for having the right to store the data you send to the platform, including obtaining any consent your own customers may need to provide.

Limitation of Liability

Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law or any other law that cannot legally be excluded.

Where the Australian Consumer Law applies and permits us to do so, our liability for a failure to meet a consumer guarantee is limited, at our option, to supplying the affected services again or paying the cost of having them supplied again.

Subject to those rights, LockMSP's total aggregate liability arising out of or relating to the use of the platform, whether in contract, negligence, or otherwise, is limited to the total subscription fees actually paid by you for the affected services during the twelve (12) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by law, LockMSP will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, business interruption, loss of goodwill, or loss of data.

Changes to these Terms

From time to time we may update these Terms to reflect changes to our services or legal obligations.

Where changes are significant, we'll provide reasonable notice before they take effect. Continued use of LockMSP after the effective date of any changes constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of Victoria, Australia, and any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
